The three false problems of the breach-motivated termination of the multilateral contracts: a study in light of the example of the shareholders’ agreements

Abstract

This article intends to analyze, in light of the most recent doctrinal developments on breach-motivated contract termination premises and cases, three of the main false problems usually indicated by corporate law commentators as obstacles for the incidence of the general rules for breach-motivated contract termination on multilateral contracts, using the shareholders’ agreements as example. It will be argued that there are no currently in effect legal grounds to claim that the general rules for breach-motivated contract termination should not apply to multilateral contracts. Objective legal grounds for the application of termination on such agreements, which may target the contract either partially or completely, will also be outlined.
