Legal discipline of down payments in the brazilian legal order

Abstract

The presente study aims to investigate not only the structural aspect of the down payments, but also its importante functional aspect. We will begin the explanation with a brief historical journey, and then addresss its scope, concept, legal nature and object. A necesssary disctinction will bem ade between the institute of down payments and the penalty clause and we will continue with the presentation of their normtive discipline, distinguishing confirmatory down payments from penitencial ones, as well as those called “assecuratorial”. Its application in consumer relations will be investigated, and them we will properly analyze the functions performed by both confirmatory down payments and penitentioal down payments. Next, the possibility, or not, of cumulating the charges with the penalty clause will be analyzed, as well as the possibility of their equitable reduction, in accordance with article 413 of the Civil Code. Finally, the jurisprudential position regarding the potential impossibility of retention will be investigated, despite the existence of na express legal text admitting it
