Abstract

This article analyzes the transfer of risks of the property and payment in the sales contracts. The creation of an efficient relation between the parties to a contract depends, in great part, in objective and clear rules regarding allocation of risks, especially in the Brazilian Civil Law, with provides for a potential timeframe between the conclusion of the contract and the effective transfer of the property. This article seeks to give special focus to article 492 of the Brazilian Civil Code, as well as in article 69 of the United Nations Convention on Contracts for the International Sale of Goods (“CISG”), with the specific goal of understanding the risks assumed by the parties before and after the transfer of property, and the consequences of the loss of the good sold or the payment in the different contractual phases.
