Duty do Arbitrate in Good-Faith: source, scope, and substantive consequences of its breach

Abstract

Just as an obligational relationship is not limited to a mere duty to perform, compliance with the arbitration agreement is not limited to submitting the dispute to an arbitral tribunal. In arbitration agreements, one may also identify performance interests and protection interests, and, in this respect, the arbitration agreement does not differ from other legal transactions, which are surrounded by a set of ancillary duties. This article addresses the obligation to comply with the arbitration agreement in good faith, examining its sources, content, and the consequences of its breach, including the possibility of termination of the arbitration agreement itself and damages.
