The effects of breaching representations and warranties clauses in share sale agreements

Abstract

This study is dedicated to examining the allocation of risks involved in the purchase and sale of equity interests, directly impacting the complex economic operation, which is associated with risks of various kinds that demand management by the contracting parties. In this perspective of dividing the responsibilities arising from these risks between the parties, the so-called representations and warranties take on special importance, as they may be a determining factor in the conclusion of the agreement and form part of the contractual reciprocity. Based on an examination of these concepts, with emphasis on the proactive management of contractual risk in such transactions, the legal effects of the non-performance or falsity of the representations or warranties made by the parties are analyzed, thus identifying the legal remedy that best compensates the unjust damages suffered by the party harmed by the breach of representation or warranty.
